Only a few programs award a true board certification, and most of them are for people who already hold a board seat. In the United States, one example is NACD Directorship Certification, which requires you to be a sitting director and an NACD member. Most other programs, from Harvard to Wharton to Board Director Institute, give a certificate of completion. Which one is best depends on whether you already sit on a board, what you can spend and what you want the credential to say.
A quick note on words. A certification says you met a standard, usually by passing an exam and renewing it. A designation is the set of letters you may put after your name, such as NACD.DC or ICD.D. A certificate of completion says you finished a course. NACD itself describes its credential as a credential, not a certificate.

Which programs award a real certification?
NACD Directorship Certification
NACD Directorship Certification (NACD.DC) is an exam-based credential from the National Association of Corporate Directors. To be eligible you must currently serve as a director of a private, public or nonprofit organization, and be an NACD member or join as part of applying. NACD lists the course-and-exam package at $3,995 and a new-member bundle at $5,600. Its pages do not say who pays the lower price, so ask NACD.
The exam has two parts, 50 multiple-choice questions and 16 case studies, and takes about four hours. NACD says its most successful candidates spend about 40 hours preparing. To keep the credential you earn 32 NACD credits and pay $195 every two years, according to NACD's full FAQ. Best for: sitting directors who want an exam-based credential. Watch for: you cannot sit the exam without a board seat, and NACD does not publish a pass mark.
Corporate Directors International (CDI.D)
Corporate Directors International says it was founded in the United States in 2018. It awards the CDI.D designation after a 70-question, open-book online exam. Current directors with at least a year of service can take the exam for $2,995. People without a seat must first complete its online course ($5,995, 22 modules, 150 days of access) or its live program ($11,995).
CDI says its credential is recognized in North America and by regulators in Europe. We could not verify those claims, and its pages name no accrediting body. Best for: people who want an exam-based designation and can take it online. Watch for: the recognition claims are CDI’s own.
ICD.D (Institute of Corporate Directors, Canada)
The ICD.D is a designation from Canada’s Institute of Corporate Directors, and it is built around Canadian boards. The Directors Education Program costs $23,050 for programs starting in 2026 and $23,750 for 2027, plus taxes, and the page does not name a currency. Candidates need at least two years of current board experience, pass an online exam and an oral exam, and complete 14 hours of continuing education a year, according to the ICD.D page. Best for: directors in Canada. Watch for: the cost and the time, since the ICD-Rotman version runs 12 days in person over about nine months.
Which programs give a certificate of completion instead?
NACD Board Fundamentals Certificate
NACD’s Board Fundamentals Certificate costs $499 and is self-paced, with six months (183 days) of on-demand access. It has two blocks, Introduction to Directorship and Governing into the Future, and nine items in all, including fiduciary duties and committee blueprints. The page is written for professionals who need to work effectively with directors, and it does not say whether the certificate counts toward NACD Directorship Certification. Best for: people who work with boards. Watch for: it is not squarely aimed at someone preparing to take a seat.
Harvard Business School: Preparing to Be a Corporate Director
This is four days on the Boston campus plus 12 to 15 hours of pre-program work. HBS lists a fee of $13,000 for April 28 to May 1, 2027 and $13,250 for September 26 to 29, 2027, covering tuition, materials, accommodations and most meals. Admission is selective. Harvard’s course catalog lists a Certificate of Completion, and the HBS page itself states no certificate wording. Best for: senior executives seeking a corporate board seat who can give four days. Watch for: the price and the application.
Wharton Executive Education
Wharton offers two online programs. Corporate Governance: Maximize Your Effectiveness in the Boardroom costs US$3,100 over six weeks, at four to six hours a week according to Wharton’s enrollment page. Wharton says it earns a digital certificate of completion and “does not grant academic credit or a degree.” The Board Readiness Program pairs it with a program on executive presence: 12 weeks, US$5,200, three digital certificates, next start December 10, 2026. Best for: executives who want a business school name and live sessions. Watch for: these are dated cohorts, not start-anytime courses.
IMD Mastering Board Governance
IMD is a business school in Switzerland. Mastering Board Governance costs CHF 2,950 and runs five weeks online at six to eight hours a week, with weekly board simulations, coaching and a final group pitch judged by board members. The page does not name a certificate. It counts toward IMD’s Board Readiness Diploma and makes you eligible to apply for accreditation under the Singapore Institute of Directors, which is a Singapore pathway. Best for: people who want a global cohort and simulations. Watch for: the next listed start is February 15, 2027.
Board Director Institute Corporate Board Fundamentals and Governance
BDI sells Corporate Board Fundamentals for $497 and Corporate Board Governance for $697. Both are self-paced video courses that end with a 30-question assessment (24 correct, which is 80 percent, to pass; retakes allowed) and a Certificate of Completion. BDI’s own pages say the certificate is not accreditation, licensure, professional certification or a board appointment. The pages do not state lesson counts or hours. The video and voice in BDI courses use an AI-generated version of Michael Barrick, who reviewed and approved the lessons. Best for: learning the job at your own pace at a lower price. Watch for: there are no live sessions and no continuing education credit.
Which program is best for you?
- Best for sitting directors who want an exam-based credential: NACD Directorship Certification, or CDI.D from Corporate Directors International.
- Best for a first seat at a large company, if you have the budget: Harvard Business School or the Wharton Board Readiness Program.
- Best for a lower-cost structured start: Wharton Corporate Governance (US$3,100) or BDI Corporate Board Fundamentals ($497).
- Best for professionals who work with boards: the NACD Board Fundamentals Certificate ($499).
- Best for directors in Canada: the ICD.D designation.
- Best for a global cohort and board simulations: IMD Mastering Board Governance.
Do you need a certification to be a corporate director?
No. We found no federal rule and no Delaware statute that requires a director to hold a certification. Delaware law lets a company’s charter or bylaws set director qualifications, so any requirement comes from the company, not the statute. SEC rules ask public companies to disclose whether the audit committee has a financial expert (Sarbanes-Oxley section 407 and Regulation S-K Item 407). That is a disclosure about education and experience, not a credential requirement.
This is what we read, not legal advice, and we did not search every state or every exchange rule. A credential can still be a useful signal, and an IFC practice brief notes that certification programs prompt debate among governance experts. Nothing we read makes any one credential the accepted standard.
Where Board Director Institute fits, and where it does not
- If you want letters after your name, BDI is not the right fit. Its Certificate of Completion is not a certification or a designation.
- If you want a credential that requires a board seat and an exam, look at NACD.DC or CDI.D.
- If you want a business school brand or live classmates, look at Wharton, IMD or Harvard.
- If you want to learn the job at your own pace before you ask for a seat, and you want a lower price, BDI is built for that.
